Aonnis Terms and Conditions

1. Introduction

Welcome to Aonnis Cloud ("the Company,""we,""our," or "us"). These Terms and Conditions ("Terms") govern your use of our managed database services ("Services"). By signing up for and using our Services, you agree to these Terms. If you do not agree to these Terms, you may not use our Services.

2. Definitions

  • Customer: Refers to any individual or entity that signs up to use our Services.
  • Services: Refers to the managed database services provided by Aonnis Cloud.
  • Downtime: Refers to the period during which the Services are unavailable.

3. Service Description

Aonnis provides managed database services and Kubernetes operators, which are tools that simplify the deployment, scaling, and management of containerized applications, to help you run your business-critical applications. While we strive to ensure high availability and reliability, you acknowledge that the Services may occasionally experience downtime due to maintenance, technical issues, or factors beyond our control.

4. Universal Service Terms

  1. You may not transfer outside the Services any software (including related documentation) you obtain from us or third-party licensors in connection with the Services without specific authorization to do so.
  2. You must comply with current technical documentation applicable to the Services (including user, admin, and developer guides) provided by Aonnis.
  3. You will provide information or other materials related to your content as reasonably requested by us to verify compliance with these Terms. You will cooperate with us to identify the source of any issues with the Services that we believe may be attributable to your content.
  4. You are responsible for maintaining licenses and adhering to license terms for any software you run. If we reasonably believe any of your content violates the law or infringes on third-party rights, we may request removal or disable access. If you fail to comply within two business days, we may take appropriate actions, including removal or disabling access without notice, as required by law or other regulatory authority.
  5. You must ensure that all information provided to us during registration or usage of the Services is accurate and up-to-date.
  6. From time to time, Aonnis Cloud may apply upgrades, patches, or other maintenance. We will make reasonable efforts to notify you of scheduled maintenance.
  7. Confidentiality: You agree not to disclose Aonnis confidential information unless required by law.
  8. Benchmarks: You may perform benchmarks or evaluations of the Services only if you disclose necessary information to us to replicate such benchmarks. We reserve the right to perform similar evaluations of your products or services.
  9. Associated Services: When using an associated service, you agree to its specific terms and fees.
  10. Data Protection: You are responsible for providing adequate privacy notices and obtaining consents for processing personal data. You agree to comply with applicable data protection laws of your jurisdiction. Aonnis reserves the right to request additional information or documentation to verify the accuracy of data provided by you. If discrepancies are found, Aonnis may terminate your account and services. Actions will be taken in accordance with the local jurisdiction of the customer, and if any confusion arises regarding the jurisdiction, Indian law will apply.
  11. Following closure of your account, Aonnis Cloud will delete your content in accordance with applicable technical documentation.
  12. Tax Exemption: To request tax-exempt status, provide valid documentation. You are responsible for maintaining accurate records and compliance with local tax laws.
  13. Kubernetes Operators Usage:
  • If you are using Kubernetes operators provided by Aonnis, the following terms apply. No manual write operations should be performed by logging in to the operator or operator-managed pods. If such operations are performed, Aonnis may provide delayed support to prioritize other customers in case any issue arises.
  • 13.1. Aonnis Kubernetes operators may write data to local Kubernetes clusters using config maps and secrets. Customers must not modify these configurations as it may cause issues with management operations. If such operations will be performed then Aonnis may provide delayed support to prioritize other customers in case any issue arises.

5. Prohibited Use of Services

  1. Customers are strictly prohibited from using Aonnis-provided services to white-label and resell them to third parties. White-labeling refers to the act of rebranding Aonnis services as the customer’s own and offering them to third parties for profit. If such activities are detected, the customer's account will be suspended immediately, and strict legal actions will be taken against the customer in accordance with applicable laws.

6. Service Availability and Downtime

  1. Aonnis Cloud will make reasonable efforts to ensure service availability. However, we do not guarantee uninterrupted access.
  2. If you have been charged for a Service for a period when that Service was unavailable (as defined in the applicable Service Level Agreement for each Service), you may request a Service credit according to the service documentation available on our website or by contacting our support team.
  3. Downtime may occur due to maintenance, upgrades, or unforeseen circumstances. We will attempt to notify customers in advance of planned maintenance whenever possible.
  4. The Company shall not be liable for any damages or losses arising from downtime, including but not limited to loss of revenue, business interruptions (such as delays in accessing critical applications or interruptions in client-facing operations), or data loss.

7. Customer Responsibility for Credential Handling

  1. Customers are solely responsible for maintaining the confidentiality and security of their Aonnis platform credentials.
  2. Aonnis shall not be held liable for any damages, losses, or business interruptions resulting from improper handling, sharing, or misuse of credentials by the customer.

8. Limitation of Liability

  1. To the maximum extent permitted by law, Aonnis Cloud shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use our Services.
  2. Our total liability to you for any claim related to the Services shall not exceed the amount you paid for the Services during the three months preceding the claim, after deducting taxes and payment gateway fees.

9. Indemnification

You agree to indemnify, defend, and hold harmless Aonnis, its affiliates, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Services or your violation of these Terms.

10. Changes to Terms and Conditions

  1. Aonnis Cloud reserves the right to modify these Terms at any time. Changes will become effective upon posting the updated Terms on our website.
  2. It is your responsibility to review these Terms periodically for updates.
  3. Continued use of the Services after changes to the Terms constitutes acceptance of the updated Terms.

11. Termination

  1. We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for any reason, including breach of these Terms.
  2. Upon termination, you must immediately cease using the Services. Any outstanding fees owed to us must be paid in full.

12. Refund Policy

  1. Any refunds provided by Aonnis will be issued at our discretion and only after deducting applicable taxes and payment gateway fees.
  2. Refunds will be processed to the original payment method unless otherwise specified by Aonnis.
  3. Refunds will only be issued in the following scenarios:
    • If the customer claims the remaining balance during the promotional period (a period of 1 month after the account is created by the user).
    • If the customer decides to leave the Aonnis platform, a refund will only be issued after the customer has stopped using all the services for a month and provides an acknowledgment in writing. Refund requests must be submitted in writing over an email, including all relevant details, and customers will receive an email confirmation upon receipt of their request. Requests will be reviewed on a case-by-case basis.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

14. Dispute Resolution

  1. Any disputes arising from these Terms shall first be attempted to be resolved through negotiation in good faith.
  2. If negotiation fails, disputes shall be resolved in accordance with the applicable laws of India. If a court case needs to be filed, it shall be filed in the courts of New Delhi as the jurisdiction.

15. Miscellaneous

  1. These Terms constitute the entire agreement between you and Aonnis Cloud regarding the use of our Services and supersede any prior agreements.
  2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  3. Failure to enforce any right or provision under these Terms shall not constitute a waiver of such rights. By signing up for Aonnis Cloud, you acknowledge that you have read, understood, and agree to these Terms and Conditions. We recommend that you retain a copy of these Terms for your records.
